Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your engagement with Eight AI Solutions ("Eight AI", "we", "us"). By engaging our services or signing a project agreement, you accept these Terms.

2. Services

Eight AI provides:

• AI workflow audits
• Custom AI system design, build, and installation
• Ongoing maintenance and optimization under retainer agreements
• Strategic AI partnership engagements

Specific deliverables, timelines, and scope are defined in individual project agreements.

3. Payment terms

• Project fees are invoiced at agreed milestones, typically 50% on signing and 50% on delivery.
• Retainer fees are invoiced monthly in advance.
• All fees are in Malaysian Ringgit (MYR) unless otherwise specified, exclusive of taxes (SST applied where applicable).
• Late payments may incur a service pause until settled.

4. Intellectual property

Upon full payment, you own all code, configurations, prompts, and documentation built specifically for your project. Eight AI retains rights to:

• Our pre-existing tools, frameworks, and methodologies.
• Generic learnings that do not contain your confidential information.

We do not retain rights to use your business data, branding, or workflows in any other engagement.

5. Outcomes and warranties

We commit to delivering our work to professional standards. However, we do not guarantee specific business outcomes (revenue increase, cost savings, ROI). AI system performance depends on data quality, user adoption, and business context — variables outside our sole control.

6. Confidentiality

We treat all client information as strictly confidential. NDAs are signed on request as standard. Our team is bound by internal confidentiality agreements.

7. Termination

• Either party may terminate ongoing retainer engagements with 30 days written notice.
• Project engagements may be terminated for material breach, with reasonable notice to cure.
• Upon termination, completed systems and documentation remain yours. Outstanding fees for work performed remain payable.

8. Limitation of liability

To the extent permitted by law, Eight AI's total liability for any claim arising from our services shall not exceed the fees paid by you in the 6 months preceding the claim. We are not liable for indirect, consequential, or incidental damages.

9. Governing law

These Terms are governed by the laws of Malaysia. Any disputes shall be resolved in the courts of Malaysia.
